The breadth of resources we bring to a partnership can help expand your capabilities and enhance regulatory compliance. Rely on the professionals at GPFS when you want a single solution for all back-office private equity fund management activities.

Fund Launch

Operational readiness and effective governance are crucial details to get right when establishing a new fund and/or a new investment firm. Our team has experience working with multiple firms of various sizes and handling fund launches. We can handle some or all back-office tasks, freeing GPs to focus more of their time on fundraising and deal sourcing.

Throughout the launch, designated professionals will partner with clients in several areas that impact back-office operations. Our team of experts can aid with rules, regulations, and processes required for entity incorporation, bank account setup, and various fund administration tasks, such as:

  • Partnership agreement review
  • Operational due diligence support
  • Policies and practices
  • Investor reporting best practices, including ILPA and Invest Europe
  • Technology, including investor portal selection
  • Coordination of compliance and AML establishment
  • Treasury practices

At GPFS, we understand that each fundraising product requires firms to prepare for the fiduciary responsibilities that go along with raising investor capital.

Capital Call and Distribution Processing

GPFS professionals prepare and review client capital activity that appropriately follows strict policies and procedures to ensure compliance with fund organizational documents, accounting, and regulatory standards.

Our experts will calculate the following for client review:

  • Management fee, offsets to management fee and management fee waiver (deemed contributions)
  • Realized carried interest
  • Expenses to be called
  • Limited partner and general partner allocations of all contribution and distribution related activity
  • Investment allocations across fund structures, including co-investment
  • Subsequent close re-balancing
  • Net capital calls and distributions
  • Remaining commitment
  • Capital gain or loss

The GPFS team understands the complexities involved in capital activity and distribution processing. We can handle all necessary calculations and ensure all activity meets the most stringent regulations and operating procedures.

Fund Accounting and Reporting

Using best-in-class accounting software, we maintain the general ledger following strict internal controls that are independently tested during our annual SOC 1 Type II audit. GPFS employees have significant experience with US GAAP, UK GAAP, and IFRS regulations and procedures, as well as reporting standards issued by ILPA.

GPFS maintains and prepares:

  • General ledgers
  • Commitment ledgers
  • Memo accounts
  • Quarterly financial statements including coordination for the annual audit
  • Partner capital accounts
  • ILPA reporting
  • Regulatory reporting (AIFMD)

Subsequent Close Equalization

From first close to final close, GPFS will ensure partner allocations are calculated in accordance with fund documents to ensure equitable treatment is preserved amongst investors. For funds with multiple closes, we will calculate the capital due from new partners.

Additionally, GPFS will carry out tasks such as the following:

  • Calculate subsequent close interest
  • Process return-of-capital to existing partners
  • Re-calculate investment allocations for funds with multiple vehicles
  • Reflect rebalancing in the accounting records to ensure by partner allocations are correct and IRR can be accurately calculated

At GPFS, we understand the importance of handling subsequent close equalization and its role in fostering strong investor relationships. We are here to help with all the fiduciary responsibilities associated with raising capital and managing funds.

Carried Interest Calculations

The GPFS team has experience with calculating carried interest for a variety of different fund structures, including those that use the American or European waterfall method. We invest time in understanding the intention of the organizational documents and ensuring the data being used in the calculations aligns perfectly with that intention.

You can rely on our team for many types of calculations, such as:

  • Realized carried interest by partner
  • Unrealized / accrued carried interest by partner
  • Whole-fund, deal-by-deal, cross-collateralized methods
  • Allocation of carried interest to carry recipients
  • Tax distributions
  • Blocker entity impact

Treasury

While adhering to strict internal controls, we will provide a range of reporting and transactional support for client treasury demands.

Investor Communications

GPFS provides clients’ bandwidth to focus on their broader investor needs while our experts manage activities such as the distribution of documents, response to back-office inquiries and investor requests, and maintenance of investor portal data.

General Partner/Carry Recipient Reporting

In addition to capital account schedules, we can create custom reports to present carried interest earned (realized and unrealized), deemed contributions made, and a comprehensive overview of data across all current entities. Employees of the firm and other investors in these vehicles can see these details across their firms’ portfolios.

CFO Support

GPFS can engage in a supporting role to chief financial officers (CFOs) and support firms that do not have an executive in that role. For example, our professionals can provide insight into best back-office practices, key vendor selections, coordination of annual audits, establishment of banking relationships, and assistance with investor due diligence.

3rd Party Liaison

GPFS can assist your company with the selection and coordination of essential third-party vendors, including those that provide services such as:

  • Independent audit
  • Tax preparation
  • Regulatory compliance
  • Investor portal
  • Banking

AML

GPFS can offer a complete solution that also supports the client in the AML/CDD onboarding process for new investors.
